End-User License Agreement ("EULA") 2. Privacy Policy ====================================================================== PART 1: END-USER LICENSE AGREEMENT ("EULA") ====================================================================== 1. Acceptance of Terms By downloading, installing, or using MetaDock, you agree to be bound by these terms. If you do not agree, do not use MetaDock. 2. Definitions "Software" refers to MetaDock and all associated components. "User" refers to any individual or entity using MetaDock. "Content" refers to all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials. 3. License Grant Gammal Software, Inc. grants you a non-exclusive, non-transferable license to use MetaDock in accordance with these terms. 3.1 Installation Scope Individual plans (MetaDock, MetaDock Pro) permit one (1) active installation per license. Installing on a new device will automatically invalidate the license on your previous device. You do not need to purchase additional licenses for reinstallation on a different computer. Team plans permit one (1) active installation per licensed seat within a single organization. Enterprise plans permit one (1) active installation per licensed seat within a single organization, subject to the terms of the Enterprise agreement. Self-Hosted API licenses permit one (1) active installation per licensed instance. Each concurrently running MetaDock process on a server, virtual machine, or cloud instance requires a separate Self-Hosted API license. 3.2 License Sharing Prohibited Your license is personal and non-transferable. You may not share, lend, sell, sublicense, or otherwise transfer your license credentials to any other person or entity. Each user must have their own valid subscription. Team and Enterprise licenses are issued per seat to named users within a single organization. Seats may not be shared simultaneously but may be reassigned to different users within the organization. 3.3 Server Deployment Restriction Desktop licenses (MetaDock, MetaDock Pro, Team, Team Pro) are intended for interactive desktop use by a human user. Running MetaDock in headless mode, as an unattended service, or on a server, virtual machine, or cloud instance for the purpose of providing automation infrastructure requires a Self-Hosted API license. Violation of this restriction may result in license termination. 3.4 Internet Requirement MetaDock requires an active internet connection for license activation and periodic validation. The Software may not function if unable to verify your license status. 3.5 Platform MetaDock is currently available for Windows only. Future platform support may be added at Gammal Software's discretion. 3.6 Local Data MetaDock stores all user data (profiles, bookmarks, workspaces, settings) locally on your device. You are responsible for backing up your data. Gammal Software does not have access to your local data. 4. Intellectual Property All rights, title, and interest in and to MetaDock, including all intellectual property rights (patents, copyrights, trademarks, trade secrets), remain the exclusive property of Gammal Software, Inc. This Agreement does not transfer any ownership rights to you. You acquire only the limited license to use the Software as expressly granted herein. 5. Restrictions You may not: 5.1 Modify, reverse engineer, decompile, or disassemble MetaDock. 5.2 Distribute copies of MetaDock to third parties without written permission from Gammal Software, Inc. 5.3 Use MetaDock in a manner that violates any applicable laws or regulations. 5.4 Export or re-export the Software in violation of Canadian export controls under the Export and Import Permits Act (EIPA) and Export Control List (ECL), or applicable local regulations. 6. Third-Party Components MetaDock may include open-source or third-party components. Your use is also subject to any licenses for those components; see the "licenses" folder for details. 7. Maintenance & Support 7.1 Updates Your subscription includes access to all Software updates released during your active subscription period. Updates may include bug fixes, security patches, new features, and improvements. Gammal Software reserves the right to add, modify, or remove features at any time. 7.2 Support Support is provided via email at support@metadock.app. Response times are on a best-effort basis and are not guaranteed. 8. User Conduct You agree not to use MetaDock to: 8.1 Violate any local, state, national, or international law. 8.2 Infringe the intellectual property rights of others. 8.3 Transmit harmful, offensive, or illegal content. 8.4 Harass, abuse, or harm another person. 8.5 Access, scrape, or automate interactions with websites in violation of their Terms of Service, robots.txt directives, or without proper authorization. 8.6 Circumvent geographic restrictions, access controls, rate limiting, CAPTCHAs, or authentication mechanisms without authorization. 8.7 Operate multiple accounts on platforms that prohibit multi-accounting, or evade account suspensions or bans. 8.8 Engage in ad fraud, click fraud, fake engagement, credential stuffing, or automated manipulation of online platforms. 8.9 Scrape, collect, or process personal data in violation of privacy laws (including but not limited to GDPR, CCPA, PIPEDA). 8.10 Evade bot detection or fingerprinting mechanisms for unauthorized or fraudulent purposes. 8.11 Embed or manipulate third-party applications in violation of their license agreements or terms of use. 9. Contact sales@metadock.app for custom quotes. 9.2 Billing & Payment • Billed in advance (monthly or yearly) via Stripe. • Stripe will send a renewal reminder email 7 days before each billing date. • If payment fails, Stripe will retry up to 4 times within 3 weeks. If all retries fail, your subscription will be automatically canceled. 9.3 Auto-Renewal • Subscriptions automatically renew at the end of each billing period until canceled. • You will be charged the then-current rate at each renewal. • To avoid renewal charges, submit a cancellation request at least 5 business days before your next billing date. 9.4 Money-Back Guarantee • All plans include a 14-day money-back guarantee. • If you are not satisfied within 14 days of purchase, email support@metadock.app for a full refund. 9.5 Refunds • Refund requests made within the 14-day money-back guarantee period will be honored in full. • Refund requests after the 14-day period are handled on a case-by-case basis at Gammal Software's sole discretion. • To request a refund, email support@metadock.app with your order details. 9.6 Upgrades & Downgrades • Plan changes take effect next billing cycle. 9.7 Customer Portal • All members can access their subscription and billing portal at: https://billing.stripe.com/p/login/3cs8x32pH3aX5iM7ss 9.8 Taxes • Prices exclude applicable taxes (VAT, GST, sales tax, etc.). • Stripe automatically calculates and collects required taxes based on your location. You are responsible for any taxes added to your invoice. 10. Indemnification You agree to indemnify and hold harmless Gammal Software, Inc. and its affiliates from any claims, damages, liabilities, and expenses arising from your use of MetaDock or violation of this Agreement. Gammal Software, Inc. will defend you against third-party IP infringement claims for the Software. 11. Term and Termination This Agreement is effective until terminated. Gammal Software, Inc. may terminate if you breach any term. Upon termination, cease use and destroy all copies. 12. Survival Sections on Restrictions, User Conduct, Indemnification, Disclaimer, Limitation of Liability, Fees, Confidentiality, Browser Automation & Web Scraping, AI-Assisted Automation, API Usage, Third-Party Platform Compliance, Proxy Usage, Device Emulation & Geolocation Spoofing, Privacy & Stealth Modes, Third-Party Applications, Web Browsing & Third-Party Content, Browser Extensions, Financial Data Disclaimer, and Health & Safety Warnings survive termination. 13. Confidentiality Both parties agree to protect each other's confidential information and not to disclose it to third parties. 14. Disclaimer of Warranties MetaDock is provided "as-is" without warranty. Gammal Software, Inc. disclaims all warranties, including merchantability and fitness for a particular purpose. 15. Limitation of Liability To the fullest extent allowed by law, Gammal Software, Inc. will not be liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill. In no event shall Gammal Software's total aggregate liability exceed the amounts paid by you to Gammal Software in the twelve (12) months preceding the claim. 16. Governing Law & Venue This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes will be resolved exclusively in the courts located in Ontario, Canada. 17. Force Majeure Gammal Software, Inc. isn't liable for failure due to causes beyond its control (acts of God, war, strikes, etc.). 18. Assignment & Delegation You may not assign this Agreement without Gammal's consent. Gammal may assign to an affiliate. 19. Audit Rights Gammal may audit your compliance with license terms upon reasonable notice. 20. Waiver & Severability Failure to enforce a right isn't waiver of future enforcement. If a provision is unenforceable, the remainder remains in effect. 21. Source Code Escrow Reserved. 22. Entire Agreement This EULA and applicable third-party licenses constitute the entire agreement and supersede prior agreements. 23. Feedback License Any feedback you provide is non-confidential and Gammal may use it without obligation. 24. Browser Automation & Web Scraping MetaDock provides browser automation features including programmatic navigation, element interaction, JavaScript execution, and data extraction. These features are provided for legitimate purposes such as software testing, authorized research, productivity enhancement, and personal automation. YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR USE OF AUTOMATION FEATURES COMPLIES WITH: (a) All applicable laws, including but not limited to the Computer Fraud and Abuse Act (CFAA), the Canadian Criminal Code provisions on unauthorized computer access, and equivalent laws in your jurisdiction. (b) The Terms of Service of any websites or online services you interact with using MetaDock. (c) All applicable data protection and privacy laws when collecting or processing any data. Gammal Software, Inc. is not responsible for any consequences arising from your use of automation features, including but not limited to legal action, account suspensions, access restrictions, or civil or criminal liability. 25. AI-Assisted Automation MetaDock includes Model Context Protocol (MCP) integration, enabling AI assistants to control browser automation and workspace management. When using AI-assisted automation features: (a) You remain solely responsible for all actions performed by AI assistants through MetaDock, regardless of whether you directly initiated each action. (b) AI assistants may make mistakes or take unintended actions. You should monitor AI-driven automation and maintain appropriate safeguards. (c) You are responsible for ensuring AI-driven automation complies with all applicable laws, website terms of service, and this Agreement. (d) Gammal Software does not control, endorse, or take responsibility for any third-party AI assistants you connect to MetaDock. 26. API Usage MetaDock includes access to local REST API, WebSocket, MCP (Model Context Protocol), CDP (Chrome DevTools Protocol), and Selenium WebDriver interfaces for programmatic control. API access varies by plan: • MetaDock: 1,000 API calls per month • MetaDock Pro: Unlimited API calls • Team: 10,000 API calls per seat per month • Team Pro / Enterprise / Enterprise+: Unlimited API calls • Self-Hosted API: Unlimited API calls per licensed instance API access is subject to: (a) API access is for your own personal or internal business use only. Desktop licenses (MetaDock, Pro, Team, Team Pro) are for interactive use by a human operator. Using desktop licenses to provide API access as a service, or to run unattended automation infrastructure, requires a Self-Hosted API license. (b) You may not resell, sublicense, or provide API access as a service to third parties without a Self-Hosted API license or written authorization from Gammal Software. (c) You may not use the API to build competing products or services. (d) API endpoints and functionality may change between versions without notice. (e) Gammal Software provides no uptime guarantees for local API services. Enterprise and Self-Hosted API Enterprise customers may negotiate SLA terms separately. (f) API call limits are enforced per billing period. Exceeding your plan's API call limit may result in throttling or temporary suspension of API access until the next billing period. (g) Self-Hosted API licenses are per-instance. Each concurrently running MetaDock process requires a separate license. Gammal Software reserves the right to audit instance counts upon reasonable notice. 27. Third-Party Platform Compliance MetaDock's profile isolation, User-Agent customization, and multi-browser capabilities are designed for legitimate use cases such as web development testing, managing separate personal and professional accounts on platforms that permit this, and privacy protection. Many online platforms prohibit operating multiple accounts, using automation, or misrepresenting your identity or device characteristics. You are solely responsible for understanding and complying with the terms of service of any platform you access through MetaDock. Gammal Software, Inc. disclaims all liability for account suspensions, bans, legal action, or other consequences resulting from your violation of third-party platform terms. 28. Proxy Usage MetaDock supports configuring HTTP/HTTPS/SOCKS proxy servers on a per-profile basis. When using proxy features: (a) You are solely responsible for ensuring your proxy usage complies with all applicable laws and the terms of service of both the proxy provider and any websites accessed through the proxy. (b) Gammal Software does not provide, endorse, or take responsibility for any third-party proxy services. (c) Using proxies to circumvent geographic restrictions, access controls, or evade bans may violate laws or terms of service. You assume all risk and liability for such usage. (d) Proxy connections may be less secure, slower, or less reliable than direct connections. Gammal Software is not responsible for any issues arising from proxy usage. 29. Device Emulation & Geolocation Spoofing MetaDock includes features to emulate different devices and override geolocation data. These features are intended for legitimate purposes such as web development testing, accessibility testing, and privacy protection. (a) You are solely responsible for ensuring your use of device emulation and geolocation spoofing complies with all applicable laws and terms of service. (b) Using these features to commit fraud, deceive others, circumvent geographic restrictions, or violate terms of service is prohibited. (c) Some jurisdictions may have laws regarding misrepresentation of location or device characteristics. You are responsible for understanding and complying with such laws. 30. Privacy & Stealth Modes MetaDock includes privacy features (F8 Browser Privacy Mode) and full application stealth (F2 Full Interface Hide) with optional password protection. These features are provided for legitimate privacy purposes. (a) You are solely responsible for any use of stealth features. (b) Using stealth features to hide illegal activity, evade monitoring by employers or authorities with legitimate oversight, or circumvent security measures is prohibited. (c) Gammal Software is not responsible for any consequences arising from your use of privacy or stealth features. 31. Third-Party Applications (Beta Feature) MetaDock allows embedding third-party Windows applications within its workspace. This feature is currently in Beta. When you embed third-party applications: (a) You are responsible for ensuring you have the right to use those applications in this manner. (b) You must comply with all license agreements and terms of use for embedded applications. (c) Gammal Software, Inc. makes no representations about the compatibility, stability, or authorization to embed any third-party software. (d) Embedding an application does not grant you any additional rights to that application beyond what its own license provides. (e) Beta features are provided AS-IS without warranty and may be unstable, cause crashes, or result in data loss. Gammal Software, Inc. is not responsible for any issues, data loss, or license violations arising from embedding third-party applications. 32. Web Browsing & Third-Party Content MetaDock includes web browsing functionality powered by Microsoft Edge WebView2. When browsing the web through MetaDock: (a) You may access third-party websites, services, and content that are not controlled by Gammal Software. (b) Gammal Software does not endorse, verify, or take responsibility for any third-party content, including its accuracy, legality, or safety. (c) Your interactions with third-party websites are governed by those websites' terms of service and privacy policies. (d) You are responsible for protecting yourself from malicious websites, phishing, malware, and other online threats. (e) Gammal Software is not responsible for any damages arising from your access to third-party content through MetaDock. 33. Browser Extensions MetaDock supports installation of Chromium-based browser extensions. When using browser extensions: (a) Extensions are provided by third parties and are subject to their own terms and privacy policies. (b) Gammal Software does not review, endorse, or warrant any extensions. (c) Extensions may have access to your browsing data, credentials, and other sensitive information. You install and use extensions at your own risk. (d) Malicious extensions may compromise your security or privacy. You are responsible for evaluating the safety of any extensions you install. (e) Gammal Software is not responsible for any issues arising from extension usage, including security breaches, data loss, or browser instability. 34. Financial Data Disclaimer MetaDock includes Symbol Manager functionality that retrieves financial data from third-party providers (TradingView, Yahoo Finance, FINVIZ, StockCharts, Investing.com, MarketWatch, etc.). (a) Financial data is provided by third parties for informational purposes only and should not be relied upon for investment decisions. (b) Gammal Software does not guarantee the accuracy, completeness, or timeliness of any financial data. (c) Financial data may be delayed, inaccurate, or unavailable. You should verify all information with authoritative sources before making any financial decisions. (d) MetaDock is not a financial advisor, broker, or investment service. Nothing in MetaDock constitutes financial advice. (e) Gammal Software is not responsible for any financial losses arising from reliance on data displayed in MetaDock. 35. Age Restriction MetaDock is intended for users 18 years of age or older. By using MetaDock, you represent that you are at least 18 years old. If you are under 18, you may not use MetaDock. 36. Health & Safety Warnings PHOTOSENSITIVE SEIZURE WARNING: A small percentage of people may experience seizures when exposed to certain visual elements, including flashing lights or patterns that may appear on computer screens. This may occur when using MetaDock, particularly when: - Multiple browser windows or applications update simultaneously - Viewing web content with animations or flashing elements - Rapidly switching between windows or workspaces - Auto-refresh features cause repeated page reloads If you or any family member has a history of seizures or epilepsy, consult a physician before using MetaDock. DISCONTINUE USE IMMEDIATELY and consult a physician if you experience any of the following symptoms: - Dizziness, altered vision, or eye twitching - Muscle twitching or involuntary movements - Loss of awareness, confusion, or disorientation - Convulsions or seizures TO REDUCE RISK OF PHOTOSENSITIVE SEIZURES: - Use MetaDock in a well-lit room - Take regular breaks (at least 15 minutes every hour) - Avoid prolonged use when tired - Reduce the number of simultaneously active/updating windows - Disable auto-refresh features if you are sensitive to screen flicker REPETITIVE STRAIN AND EYE STRAIN: Extended computer use may cause discomfort in hands, wrists, arms, shoulders, neck, or eyes. To reduce risk: - Take regular breaks and stretch - Maintain proper posture and ergonomic setup - Adjust screen brightness and use appropriate lighting - Consider using blue light filtering if using MetaDock for extended periods Gammal Software, Inc. is not responsible for any health issues arising from use of MetaDock. 37. Amendments to Terms Gammal Software, Inc. reserves the right to modify this Agreement at any time. Material changes will be communicated via: - Email to your registered address (if available) - In-app notification upon next login - Notice on our website at https://metadock.app Changes take effect 30 days after notification unless otherwise specified. Continued use of MetaDock after changes take effect constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must stop using MetaDock and cancel your subscription. 38. Service Availability (a) MetaDock is provided on an "as available" basis. Gammal Software does not guarantee uninterrupted or error-free operation. (b) License validation servers may experience downtime for maintenance, updates, or unforeseen issues. During such times, license validation may be temporarily unavailable. (c) Gammal Software reserves the right to discontinue MetaDock or any features at any time with 90 days notice to active subscribers. (d) In the event of discontinuation, active subscribers will receive a prorated refund for any unused subscription period. 39. When you create an account on metadock.app, we collect: • Email address (required for account creation) • Username (optional) • Full name (optional) • Password (hashed with Argon2id, never stored in plaintext) Third-party processors may handle: • Payment Data via Stripe (name, email, billing info). • Telemetry via Microsoft WebView2 (standard Edge performance diagnostics — MetaDock has no control over WebView2 telemetry). • Error tracking via Sentry (crash reports, no personal data). 3. Legal Bases PIPEDA (Canada): • Consent: Implied consent for routine business processing; express consent for sensitive information. • Accountability: Gammal Software is responsible for personal information under its control, including data handled by third-party processors. GDPR (EU/UK): • Contract performance (subscription billing). • Legitimate interests (software improvement). 4. Use of Data • Billing & renewals (Stripe). • Product diagnostics & improvements (Microsoft). 5. Data Retention • Stripe: up to 7 years per financial regulations. • Telemetry: up to 90 days unless extended. 6. Security Measures Processors implement TLS, AES-256 encryption, access controls, and vulnerability assessments. 7. International Transfers Data may transfer outside Canada under Standard Contractual Clauses. 8. Cookies & Tracking MetaDock's embedded browser may store cookies for web content. No in-app analytics cookies. 9. Children's Privacy Not directed to under-18s. We don't knowingly collect from minors. Contact dpo@metadock.app for concerns. 10. User Rights PIPEDA (Canada): You have the right to access your personal information held by Gammal Software, request correction of inaccurate data, and withdraw consent (subject to legal or contractual restrictions). Complaints may be filed with the Office of the Privacy Commissioner of Canada (OPC). GDPR (EU/UK): Rights to access, rectify, erase, port, restrict, and object. CCPA (California): California residents may opt-out of sale (none occurs).
