# Website Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE.

## 1\. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Gammal Software, Inc. ("Company," "we," "us," or "our"), an Ontario corporation with its principal place of business in Ontario, Canada, governing your access to and use of the metadock.app website and any related subdomains (collectively, the "Website").

By accessing, browsing, or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Website.

**Note:** These Terms govern use of the Website only. Use of the MetaDock desktop application is subject to the [End-User License Agreement (EULA)](https://metadock.app/docs/eula.txt), which is also presented during installation.

## 2\. Definitions

-   **2.1** "Content" means all information, text, graphics, images, videos, logos, icons, software, code, data, and other materials available on or through the Website.
-   **2.2** "User Content" means any content, comments, feedback, suggestions, or communications you submit to us through the Website, including via contact forms, email, or other submission methods.
-   **2.3** "Services" means the information, resources, and services provided through the Website, including product information, documentation, downloads, and customer support resources.
-   **2.4** "Intellectual Property" means all patents, copyrights, trademarks, trade secrets, trade names, and other proprietary rights.

## 3\. Permitted Use of Website

### 3.1 License to Access

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for lawful purposes.

### 3.2 Acceptable Use

You may use the Website to:

-   Learn about MetaDock and our products and services
-   Download MetaDock software and related materials
-   Access documentation, FAQs, and support resources
-   Contact us for sales, support, or other inquiries
-   Manage your account and subscription (when applicable)

### 3.3 Prohibited Activities

You agree NOT to:

-   Use the Website for any unlawful purpose or in violation of these Terms
-   Attempt to gain unauthorized access to any portion of the Website, server, network, or database
-   Probe, scan, or test the vulnerability of the Website or any related system
-   Interfere with or disrupt the Website, servers, or networks connected to the Website
-   Use any robot, spider, scraper, or other automated means to access the Website without our express written permission
-   Introduce viruses, malware, or other malicious code
-   Copy, modify, reproduce, republish, or distribute any Content from the Website without our prior written consent

## 4\. Intellectual Property Rights

All Content on the Website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the compilation thereof, is the exclusive property of Gammal Software, Inc. or its content suppliers and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

"MetaDock" is a product of Gammal Software, Inc.

## 5\. User Content and Submissions

When you submit feedback, suggestions, ideas, or other non-personal communications to us through the Website (excluding personal information, support requests, and communications containing confidential information), you grant Gammal Software, Inc. a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media for the purpose of improving our products and services.

This license does NOT apply to personal information, support inquiries, bug reports, or any confidential information you share with us, which are governed by our Privacy Policy.

## 6\. Product Information and Availability

All prices displayed on the Website are in U.S. Dollars (USD) and are inclusive of any applicable sales tax (such as VAT, GST, or HST), unless otherwise specified, and are subject to change with notice as described in Section 14 of these Terms. The price shown is the total amount payable; any tax component is accounted for within that price rather than added at checkout. MetaDock is offered in three plans: MetaDock Explorer ($10/mo or $90/yr), MetaDock ($20/mo or $180/yr), MetaDock Pro ($60/mo or $540/yr). All plans include a 14-day free trial. Current pricing is always available on our [pricing page](https://metadock.app/pricing).

MetaDock is currently available for Windows 10 and Windows 11 only. Features described on the Website, particularly features marked as "Coming Soon" or with future dates, are not guaranteed and may be modified, delayed, or cancelled without notice.

## 6A. Subscription Terms

All paid subscriptions (MetaDock Explorer, MetaDock, and MetaDock Pro) are billed on a recurring basis, either monthly or annually, depending on the billing period you select at the time of purchase.

-   **Auto-Renewal:** Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the applicable subscription fee at renewal.
-   **Cancellation:** You may cancel your subscription at any time from your account settings page or by contacting support@metadock.app. Cancellation takes effect at the end of your current billing period. You will retain access until the period expires.
-   **Price Changes:** We may change subscription prices with at least 30 days notice. Price changes take effect at your next renewal. You may cancel before the new price takes effect.
-   **Downgrades:** If you downgrade from Pro to MetaDock, the change takes effect at your next billing cycle. Features exceeding the lower plan limits will become inaccessible until you reduce usage or upgrade again.

## 6B. Free Trial, Cancellation & Refunds

14-Day Free Trial

All plans start with a 14-day free trial. Your card is not charged until the trial ends, and you can cancel anytime before then at no cost.

-   **How the trial works:** You are not charged during the 14-day free trial. If you do not cancel before it ends, your paid subscription begins automatically and your first charge is taken at the plan price.
-   **How to cancel:** Cancel anytime from your account billing page, the billing portal link included in your MetaDock emails, or by emailing support@metadock.app. Cancel before the trial ends and you will not be charged.
-   **Scope:** The free trial is available once per customer, on your first subscription.
-   **After the trial:** The main way to stop charges is to cancel, which you can do at any time. Refunds for charges already taken are considered case by case. See our [Free Trial, Cancellation & Refund Policy](https://metadock.app/refund) for full details and your statutory rights.

## 7\. Age Restriction

18+ REQUIREMENT

MetaDock is intended for users 18 years of age or older. By using MetaDock, you represent that you are at least 18 years old. If you are under 18, you may not use MetaDock.

## 8\. Health and Safety Warning

PHOTOSENSITIVITY / EPILEPSY WARNING

A very small percentage of people may experience seizures or blackouts when exposed to certain light patterns or flashing lights. This may occur while using computer software, including MetaDock, particularly when multiple browser windows refresh, animate, or display rapidly changing content simultaneously.

If you or anyone in your family has an epileptic condition or has experienced seizures of any kind, consult your physician before using MetaDock.

Discontinue use immediately and consult a physician if you experience any of the following symptoms: dizziness, altered vision, eye or muscle twitching, involuntary movements, loss of awareness, disorientation, or convulsions.

To reduce risk of photosensitive seizures:

-   Use MetaDock in a well-lit room
-   Take regular breaks (at least 15 minutes every hour)
-   Avoid prolonged use when tired
-   Reduce the number of simultaneously active/updating windows
-   Disable auto-refresh features if you are sensitive to screen flicker

REPETITIVE STRAIN AND EYE STRAIN

Extended computer use may cause discomfort in hands, wrists, arms, shoulders, neck, or eyes. To reduce risk:

-   Take regular breaks and stretch
-   Maintain proper posture and ergonomic setup
-   Adjust screen brightness and use appropriate lighting
-   Consider using blue light filtering if using MetaDock for extended periods

Gammal Software, Inc. is not responsible for any health issues arising from use of MetaDock.

## 9\. Browser Automation & Web Scraping

MetaDock provides browser automation features including programmatic navigation, element interaction, JavaScript execution, and data extraction. These features are provided for legitimate purposes such as software testing, authorized research, productivity enhancement, and personal automation.

YOUR RESPONSIBILITY

YOU ARE SOLELY RESPONSIBLE FOR ENSURING YOUR USE OF AUTOMATION FEATURES COMPLIES WITH:

-   All applicable laws, including the Computer Fraud and Abuse Act (CFAA), Canadian Criminal Code provisions on unauthorized computer access, and equivalent laws in your jurisdiction
-   The Terms of Service of any websites or online services you interact with using MetaDock
-   All applicable data protection and privacy laws when collecting or processing any data

Gammal Software, Inc. is not responsible for any consequences arising from your use of automation features, including but not limited to legal action, account suspensions, access restrictions, or civil or criminal liability.

## 10\. Third-Party Platform Compliance

MetaDock's profile isolation, User-Agent customization, and multi-browser capabilities are designed for legitimate use cases such as web development testing, managing separate personal and professional accounts on platforms that permit this, and privacy protection.

PLATFORM TERMS OF SERVICE

Many online platforms prohibit operating multiple accounts, using automation, or misrepresenting your identity or device characteristics. You are solely responsible for understanding and complying with the terms of service of any platform you access through MetaDock. Gammal Software, Inc. disclaims all liability for account suspensions, bans, legal action, or other consequences resulting from your violation of third-party platform terms.

## 11\. Third-Party Applications

MetaDock allows embedding third-party Windows applications within its workspace. This feature is currently in Beta and provided “as is,” without warranty; it may be unstable, cause crashes, or result in data loss (see the EULA, §31). When you embed third-party applications:

-   You are responsible for ensuring you have the right to use those applications in this manner
-   You must comply with all license agreements and terms of use for embedded applications
-   Gammal Software, Inc. makes no representations about the compatibility, stability, or authorization to embed any third-party software
-   Embedding an application does not grant you any additional rights to that application beyond what its own license provides

Gammal Software, Inc. is not responsible for any issues, data loss, or license violations arising from embedding third-party applications.

## 11A. API Terms (Developer Access)

MetaDock exposes programmatic interfaces — REST, MCP (Model Context Protocol), CDP (Chrome DevTools Protocol), Selenium / W3C WebDriver, and (on MetaDock Pro) a WebSocket API — collectively, the "API". Your use of the API is subject to this Section 11A in addition to the rest of these Terms.

### 11A.1 Rate Limits and Quotas

Each subscription plan includes a published monthly API request allowance:

-   **MetaDock Explorer:** 10,000 API requests per month
-   **MetaDock:** 50,000 API requests per month
-   **MetaDock Pro:** Unlimited API requests, subject to fair-use limits described below

We may also enforce short-window rate limits (per second, per minute, or per IP) to protect service stability. Limits are visible in the API response headers. Exceeding a published quota or a fair-use limit may result in throttling, temporary suspension of API access, or — in cases of sustained or abusive overuse — termination of your API key or subscription. Current limits are documented on the [API documentation](https://metadock.app/api-docs) page and may change with reasonable notice.

### 11A.2 Fair Use

"Unlimited" on MetaDock Pro means we do not impose a hard monthly quota for legitimate use. It does not mean unmetered: we reserve the right to investigate and act on usage patterns that materially exceed typical individual use — for example, sustained throughput consistent with reselling the API, distributing access to third parties, or operating shared infrastructure on top of a single subscription.

### 11A.3 API Keys and Account Security

-   API keys are issued to a single account and must not be shared, published, or embedded in publicly distributed clients.
-   You are responsible for all activity performed under your API keys until you rotate or revoke them.
-   You must promptly revoke and rotate any API key that may have been exposed (committed to a public repository, leaked in logs, lost device, etc.) and notify [support@metadock.app](mailto:support@metadock.app).
-   We may revoke an API key at any time if we reasonably believe it has been compromised or is being used in violation of these Terms.

### 11A.4 Prohibited API Use

In addition to the prohibited activities in Section 3.3, you agree NOT to:

-   Resell, sublicense, lease, or otherwise commercialise raw access to the API to third parties without a written reseller agreement with Gammal Software, Inc.
-   Build a product whose primary purpose is to provide third parties with API access (a "wrapper service") competing with MetaDock's commercial offering.
-   Reverse-engineer, decompile, or otherwise attempt to derive the source code or internal protocol details of MetaDock's services, except where this restriction is prohibited by applicable law.
-   Use the API to generate, store, or transmit content that is unlawful, infringing, malicious, or that violates the terms of service of any third-party website or platform you interact with through the API (see Sections 9 and 10).
-   Use the API to attack, probe, scrape, or otherwise interfere with the MetaDock service itself or with any other Gammal Software, Inc. infrastructure.
-   Misrepresent your identity, your application's identity, or your end-users' identities in API requests or in any User-Agent / client metadata.

### 11A.5 Service Changes and Deprecation

We may add, change, deprecate, or remove API endpoints, parameters, response shapes, or protocols. For breaking changes we will provide reasonable advance notice via the API documentation, the changelog, and (where possible) account email. We do not guarantee backwards compatibility across major version changes.

### 11A.6 No SLA Unless Separately Agreed

Unless you have signed a separate written service-level agreement with Gammal Software, Inc., the API is provided without a contractual uptime or latency commitment. Standard subscription-level disclaimers and limitation of liability (Sections 12 and 13) apply.

## 12\. Disclaimers and Warranties

AS IS AND AS AVAILABLE BASIS

THE WEBSITE AND ALL CONTENT, SERVICES, AND MATERIALS PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

The Website provides information about MetaDock software but does NOT provide financial, investment, legal, tax, or professional advice. You should consult qualified professionals for advice specific to your situation.

We are a small team and we do our best, but we reserve the right to make mistakes — in our software, our documentation, our pricing, or anything else. If something seems wrong, please let us know at [support@metadock.app](mailto:support@metadock.app) and we will do our best to make it right.

**Consumer Protection:** Nothing in these Terms limits your rights under the Ontario Consumer Protection Act, 2002, or other applicable consumer protection legislation that cannot be waived by agreement.

## 13\. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNTS YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) USD $100, **except**(a) where prohibited by applicable consumer-protection law, (b) for gross negligence, (c) for willful misconduct or fraud, (d) for violation of intellectual-property rights, or (e) for bodily injury or death caused by the Company's negligence (Civil Code of Quebec art. 1474). Nothing in this section limits any liability that cannot be limited under applicable law.

## 14\. Dispute Resolution and Governing Law

### Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

### Mediation

Where permitted by applicable law, and before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith mediation. Either party may initiate mediation by providing written notice to legal@metadock.app. This paragraph does not restrict your right to bring a claim before a court or consumer tribunal where mandatory consumer-protection law (such as the Ontario Consumer Protection Act, 2002) preserves that right.

### Jurisdiction and Venue

If mediation is unsuccessful, any legal action shall be brought exclusively in the courts of competent jurisdiction in the Province of Ontario.

**Class Actions:** Nothing in these Terms prevents you from participating in a class action lawsuit where such participation is permitted by law, including in Canada.

### Limitation Period

In Ontario, Canada, the Limitations Act, 2002 generally provides a two (2) year limitation period for most claims. Nothing in these Terms extends or shortens any limitation period provided by applicable law.
